These terms are the agreement between you and WebWise for any website, hosting, care plan or other service we provide. Your written quote and these terms together make up our contract. If the quote and these terms ever disagree, the quote wins.
1. Who we are and who we work with
WebWise is a web design studio based in London, UK. We work with businesses across the UK and around the world, remotely. You can reach us at hello@webwise.digital.
We can't work with anyone, or for the benefit of anyone, who is subject to UK sanctions, or based in a country or region under UK trade restrictions. If we find that a project would break sanctions or other UK law, we'll stop work and won't be able to continue.
2. Quotes and what's included
Before any work starts we agree a fixed quote in writing. It sets out the price, what's included, what isn't, and the expected timeline. A quote is valid for the period shown on it.
Anything you ask for that isn't in the quote is extra. We'll always tell you the cost and get your OK before doing it.
3. Payment
- Deposit: once you accept your quote, a 30% deposit books your build slot and we start work. We never ask for more than 30% up front.
- Balance: the remaining 70% is due when your site is finished and you've signed it off, before it goes live.
- Monthly plans: hosting, care and other monthly or yearly plans are billed in advance at the price on your quote.
- When to pay: invoices are due within the payment terms shown on them (14 days unless your quote says otherwise).
- Currency: prices are in pounds sterling (GBP) unless your quote says otherwise. If you pay from outside the UK, any bank or currency-conversion fees are yours, so the full invoice amount reaches us.
- Late payment: for business clients, we may charge interest and recovery costs on late invoices under the Late Payment of Commercial Debts (Interest) Act 1998. We may also pause work or hosting while an invoice is overdue, after giving you notice.
4. VAT and taxes
Our prices don't include VAT unless your quote or invoice says so.
- UK clients: if we're VAT-registered when we invoice, we'll add UK VAT where it applies and show it on the invoice.
- Business clients outside the UK: our design and build services are generally outside the scope of UK VAT, so we won't add UK VAT. You're responsible for any tax due in your own country (for example under a reverse-charge rule). Please give us your business name, address and any VAT or tax number so we can invoice you correctly.
- Private individuals outside the UK: some services, such as hosting or care plans, may carry the VAT of your own country. If so, we'll show it on your quote before you agree.
5. Your part
You confirm that any content you give us (text, photos, logos, brand assets) is yours to use, or that you have permission to use it. You'll give us the content, feedback and access we need in reasonable time. Delays on your side may move the launch date.
6. Revisions and sign-off
Two rounds of revisions on the agreed design are included. We then ask you to check the finished site and sign it off before it goes live. If something doesn't match what we agreed, we'll keep working until it does.
7. Who owns your website
Once you've paid in full, the website's design and code that we made for you belong to you. Third-party items, such as fonts, plugins, stock assets or software, stay under their own licences. We'll tell you about any that need renewing.
We may show your project in our portfolio and case studies. If you'd rather we didn't, tell us in writing and we won't.
8. Hosting, domains and care plans
If your package includes hosting or a domain, it's provided as described on your quote, including any period that's included free. After that, it continues at the price on your quote until either of us ends it. Unless your quote says otherwise, you can cancel a monthly or yearly plan by giving us 30 days' notice in writing. When you leave, we'll help you move your site and domain to a new provider.
We use trusted third-party providers for hosting, domains and email. We aren't responsible for outages or problems caused by those providers, but we'll do our best to help when they happen.
9. Cancelling a project
You can cancel a project at any time by telling us in writing. Your deposit covers the work done up to that point. If we've done more work than the deposit covers, we'll invoice for the extra at the rates on your quote. If we've done less, we'll refund the difference.
If you're a consumer in the UK (buying for yourself, not for a business), you have the right to cancel within 14 days of accepting our quote without giving a reason. If you've asked us to start work within those 14 days, you'll pay only for the work done up to when you cancel.
10. Data we handle for you
When we build, host or maintain your website, it may collect personal data from your visitors (for example contact forms or bookings). For that data, you are the data controller and we are your data processor. We will:
- only use the data to provide our services to you, and on your documented instructions;
- keep it confidential, and make sure anyone working on it is bound to confidentiality;
- keep it secure with appropriate technical and organisational measures;
- only use trusted providers (such as hosting and email services) under contracts with the same protections, and tell you if we change them;
- help you respond to people exercising their data protection rights, and with security and data protection impact assessments where needed;
- tell you without undue delay if we become aware of a personal data breach affecting your data;
- only transfer the data outside the UK or EEA with appropriate safeguards in place;
- delete or return the data when our services end, unless the law requires us to keep it;
- give you the information you need to show compliance, and allow reasonable audits.
These terms are our data processing agreement under UK GDPR, and the EU GDPR where it applies. If you need a separate signed agreement, ask us and we'll provide one.
11. Liability
Nothing in these terms limits liability that can't legally be limited, such as for death or personal injury caused by negligence, or fraud.
Otherwise, we aren't liable for indirect or consequential losses, lost profits or lost business, or for problems caused by services outside our control. Our total liability under a project is limited to the amount you've paid us for that project.
12. Changes to these terms
We may update these terms. The current version is always at webwise.digital/legal/terms. Changes won't affect a project you've already agreed unless we both agree in writing.
13. Governing law
These terms are governed by the law of England and Wales, and the courts of England and Wales will deal with any dispute. If you're a consumer living outside the UK, you also keep any protections the law of your own country gives you that can't be overridden by agreement.
WebWise is a UK web studio. Nothing here limits your statutory rights.
